Grab & Teach — Terms & Conditions

1. Acceptance of Terms
By accessing or using Grab & Teach (“the Platform,” “we,” “us,” or “our”), you agree to be bound by these Terms & Conditions. If you do not agree, you may not use the Platform.
2. Definitions
- User: Any person who accesses or uses the Platform, including users who use the Platform’s H5P editor tools to create, edit, or manage interactive content.
- Teacher / Buyer: A user who purchases or accesses lessons, memberships, or other educational resources.
- EduCreator: A user who uploads, sells, or distributes original educational content on the Platform.
- Content: Any lesson, H5P file, text, media, or material uploaded, created, or distributed through the Platform.
- Membership: A one-time, fixed-term access purchase (such as Fan, VIP, or Pro) that provides Platform access for a defined period.
3. Eligibility & Accounts
You must be at least 18 years old to create an account. You are responsible for maintaining the confidentiality of your account credentials and all activity that occurs under your account.
4. Marketplace Role Disclaimer
Grab & Teach is a digital marketplace platform. We are not a school, employer, curriculum authority, or certification provider. We do not guarantee educational outcomes, student performance, or compliance with local educational standards.
4.1 Founder Participation as an EduCreator
Grab & Teach may offer content created by its founder through the Platform. Founder-created content is subject to the same EduCreator terms, payout structures, and platform rules that apply to all EduCreators.
Founder-created content does not receive preferential treatment in pricing, visibility, search placement, or payouts.
4.2 Content Display & Ordering
Lessons and other content on the Platform may be displayed using automated relevance signals, such as popularity, recency, and usage activity, to help users discover content that may be most useful to them.
Content ordering is dynamic and may change over time. Grab & Teach does not sell or guarantee placement, ranking, or visibility.
5. Purchases, Memberships & Payments
- All prices are listed in U.S. dollars unless otherwise stated.
- Memberships (such as Fan, VIP, or Pro) are one-time purchases that grant access for a fixed term of one (1) year per purchase.
- Memberships do not automatically renew. Users must manually purchase a new membership to continue access after the term expires.
- Only one paid membership tier may be active at a time. The most recently purchased membership determines the current tier.
- Memberships cannot be changed, downgraded, or converted without a new purchase.
- If a user purchases a different membership while time remains on an existing membership, unused days are not refunded. Instead, remaining time may be converted into bonus days for the newly purchased membership. Such conversions are not always one-to-one and may result in fewer or more days depending on the memberships involved.
- Bonus days provide extended access only. They do not represent additional payment, a refund, or a reallocation of fees already paid. Payments made for memberships are not adjusted due to upgrades, downgrades, or conversions.
- Membership benefits, access levels, features, and any applicable conversion rules are described on the relevant product pages and FAQs at the time of purchase.
- All products and memberships are delivered digitally.
6. Digital Products, Previews & Refund Policy
All products offered on Grab & Teach are digital educational resources. No physical goods are shipped.
We provide watermarked preview versions of lessons so users can evaluate content before purchasing. Users are responsible for reviewing previews and product descriptions carefully before completing a purchase.
Because access to digital content is delivered instantly after purchase, all sales are final, and we do not accept returns or refunds once access has been granted.
Limited Refund Exceptions
Refunds may be considered only in the following situations:
- Duplicate purchase of the same item due to an accidental repeat order.
- Unauthorized transaction, such as verified payment fraud.
- Access issues that we are unable to resolve within seven (7) days of purchase, after you have contacted us and attempted our troubleshooting steps.
Refund requests are reviewed on a case-by-case basis and may require verification. Approved refunds are issued at our discretion.
Where local laws grant specific rights for digital content, Grab & Teach complies with all applicable legal requirements.
7. Digital Content Licensing
All content is licensed, not sold. When you purchase or access content, you are granted a non-exclusive, non-transferable license for personal classroom and educational use with your own students.
You may not:
- Resell, redistribute, or sublicense content
- Share editable files publicly
- Upload purchased content to other marketplaces or platforms
- Circumvent access controls, licensing rules, or security features
Access to purchased content may be revoked if these Terms are violated.
8. EduCreator (Seller) Terms
- EduCreators retain ownership of their original content.
- EduCreators grant Grab & Teach a non-exclusive license to host, display, market, and distribute content on the Platform.
- EduCreators are responsible for ensuring they own or have rights to all uploaded materials.
Grab & Teach reserves the right to:
- Review, remove, or disable content
- Suspend or terminate EduCreator accounts
- Withhold payouts for violations, fraud, or legal non-compliance
9. Payouts, Taxes & W-9
- EduCreators must submit a valid W-9 form and bank information before publishing content or receiving payouts.
- Payouts are processed on the 6th day of each month.
- Each payout includes earnings from the previous calendar month, calculated from the 1st through the last day of that month.
- EduCreators are solely responsible for reporting income and paying all applicable taxes.
- Grab & Teach may issue IRS Form 1099 as required by law.
10. Prohibited Uses
You agree not to:
- Violate any applicable laws or regulations
- Upload infringing, plagiarized, or unlawful content
- Attempt to bypass security or access controls
- Abuse memberships, student links, or platform features
- Harass, impersonate, or misrepresent yourself or others
11. Privacy
We respect your privacy and are committed to protecting your personal information. We collect and use information only as necessary to operate the Platform, process payments, provide access to content, and comply with legal obligations.
We do not sell, rent, or publicly disclose personal information except where required to operate the Platform, process payments, or comply with the law.
EduCreator tax and banking information is stored securely and accessed only for compliance and payout purposes.
12. Termination & Suspension
We may suspend or terminate accounts for violations of these Terms, misuse of the Platform, or legal compliance issues. Upon termination, access to content and memberships may be revoked.
13. Disclaimers
The Platform and all content are provided “as is” without warranties of any kind. We do not guarantee uninterrupted access, error-free content, or specific educational outcomes.
14. Limitation of Liability
To the maximum extent permitted by law, Grab & Teach shall not be liable for indirect, incidental, or consequential damages arising from use of the Platform.
15. Indemnification
You agree to indemnify and hold harmless Grab & Teach from claims arising from your use of the Platform, uploaded content, or violation of these Terms.
16. Governing Law
These Terms are governed by the laws of the United States and the state in which Grab & Teach operates, without regard to conflict of law principles.
17. Changes to Terms
We may update these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.
