These EduCreator Program Terms & Policies ("Terms") govern participation in the EduCreator Program offered by Grab & Teach ("Company," "we," "us"). These Terms apply only to EduCreators (creators, contributors, sellers) and are separate from customer-facing Terms of Service.

By applying to or participating in the EduCreator Program, you ("EduCreator," "you") agree to be bound by these Terms.


1. Eligibility & Enrollment

1.1 Eligibility. You must be at least eighteen years old and legally able to enter into contracts.

1.2 Participation. Enrollment in the EduCreator Program may be automated. Notwithstanding automated enrollment, Grab & Teach reserves the right to suspend, restrict, or terminate any EduCreator account at any time for violations of these Terms, suspected abuse, legal requirements, or business reasons.

1.3 Accurate Information. You agree to provide accurate, complete, and up-to-date information, including tax and payout information.

2. Creator Account & Responsibilities

2.1 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

2.2 Professional Conduct. You agree to interact respectfully with students, customers, and other EduCreators.

2.3 Compliance With Laws. You are solely responsible for ensuring compliance with applicable laws, including copyright, tax, and consumer protection laws.

3. Content Ownership & License

3.1 Your Ownership. You retain ownership of the original content you create and upload ("Creator Content").

3.2 License to Grab & Teach. By uploading or publishing content, you grant Grab & Teach a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, and promote your content solely for operating, marketing, and improving the platform.

3.3 Promotional Use. We may use excerpts, thumbnails, screenshots, previews, or short clips of your content for marketing and promotional purposes without additional compensation.

4. Content Standards & Prohibited Content

4.1 Original Work. You represent that you own or have full rights to all submitted content.

4.2 No Infringement. Content must not infringe copyrights, trademarks, privacy rights, or other intellectual property rights.

4.3 Prohibited Content. Content may not include:

  • Plagiarized or pirated material
  • Harmful, illegal, or deceptive content
  • Malware, tracking scripts, or unauthorized data collection
  • Adult, hateful, or discriminatory material

4.4 Removal Rights. We reserve the right to remove or disable access to any content that violates these Terms or applicable laws, with or without notice.

5. Editable vs. Student-Ready Content

5.1 Content Types. EduCreators may offer:

  • Student-ready (non-editable) lessons
  • Editable lessons (where permitted by membership or product type)

5.2 Access Controls. Grab & Teach controls access permissions, delivery methods, and technical protections (including watermarking and access tokens).

5.3 No Circumvention. You may not attempt to bypass platform safeguards, access controls, or content protections.

6. Pricing, Sales & Membership Pools

6.1 Pricing Control. You may set prices for individually sold lessons, subject to platform rules.

6.2 Unlimited Access Pools (VIP / Pro). You may choose whether each lesson is included in the Unlimited Access pool. Inclusion is optional and configurable per lesson.

6.3 Pool Usage. Lessons included in Unlimited Access pools may be accessed by eligible members without separate purchase.

6.4 Program Changes. We may modify pricing models, pool rules, or membership structures with reasonable notice.

7. Payouts & Revenue Share

7.1 Revenue Share. EduCreator payouts are calculated according to the revenue-sharing structure in effect at the time of use or sale.

7.2 Payout Schedule. Payouts are processed monthly, typically on or around the sixth day of the following month, provided minimum payout thresholds are met.

7.3 Taxes. You are solely responsible for all taxes related to your earnings. We may require tax forms (e.g., W-9) before payouts are issued.

7.4 Withholding & Adjustments. We reserve the right to withhold, adjust, or reverse payouts for refunds, fraud, chargebacks, policy violations, or accounting corrections.

8. Refunds, Chargebacks & Disputes

8.1 Digital Products. Due to the digital nature of content, refunds are limited and handled according to platform policies.

8.2 Chargebacks. Chargebacks or payment disputes may result in payout deductions and potential account review.

8.3 Final Determination. Grab & Teach has final authority in resolving disputes related to platform transactions.

9. Content Availability & Data Retention

9.1 Hosting. We do not guarantee permanent hosting of any content.

9.2 Retention Policy. Content, files, previews, or workspaces may be deleted after periods of inactivity or according to storage policies.

9.3 Backups. You are responsible for maintaining your own backups of original content.

10. Account Suspension & Termination

10.1 By EduCreator. You may request account closure at any time.

10.2 By Grab & Teach. We may suspend or terminate your account for violations, suspected abuse, legal requirements, or business reasons.

10.3 Effect of Termination. Upon termination:

  • Access to the platform may be revoked
  • Published content may be removed or retained for record-keeping
  • Outstanding payouts may be withheld if violations are found

11. Platform Changes & Availability

11.1 No Guarantee. The platform is provided "as is" and "as available."

11.2 Modifications. Features, tools, APIs, or integrations may change, be discontinued, or experience downtime.

12. Limitation of Liability

To the maximum extent permitted by law, Grab & Teach shall not be liable for:

  • Lost profits or revenue
  • Data loss or corruption
  • Unauthorized access to content
  • Indirect, incidental, or consequential damages

Our total liability shall not exceed the total amount paid to you in the preceding twelve months.

13. Indemnification

You agree to indemnify and hold harmless Grab & Teach, its owners, officers, and partners from any claims, damages, losses, or expenses arising from:

  • Your content
  • Your violation of these Terms
  • Your infringement of third-party rights

14. Confidentiality

Non-public information related to platform operations, payouts, analytics, or creator tools is confidential and may not be disclosed without written permission.

15. Governing Law

These Terms are governed by the laws of the State of New Hampshire, without regard to conflict-of-law principles.

16. Changes to These Terms

We may update these Terms from time to time. Continued participation after changes constitutes acceptance of the revised Terms.
